1. Acceptance

By accessing or using the Naqda platform ("Naqda", "we", "us"), you agree to be bound by these Terms. If you do not agree, do not use the service. Naqda is operated under the laws of the United States and applicable jurisdictions.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and not appear on any sanctions list (OFAC SDN, EU, UK, UN, FinCEN 314(a) lookup, or analogous registries). Beneficial owners with ≥25% control or substantial control must complete the BOI questionnaire under the U.S. Corporate Transparency Act.

3. Services

Naqda provides: (a) digital voucher and lottery draw issuance, (b) international mobile top-ups via Zendit, (c) cross-border remittances via Wise, PayPal, Stripe, and licensed Sarafi/Hawala counterparties, (d) financial management ERP, (e) public transparency reporting. Service availability may vary by country. Some flows require KYC verification before high-value disbursement.

4. Fees & Settlement

All fees are disclosed before checkout. FX rates may include a margin disclosed at quote time. Settlement timing depends on the rail (instant for top-ups, T+0 to T+3 for cross-border). Refunds for failed top-ups are processed within 5 business days.

5. KYC, AML & Sanctions

Naqda screens every transaction against OFAC SDN and runs FATF Travel Rule checks above $3,000 and CTR-equivalent for $10,000+. We may delay, refund, or seize funds where required by law. Suspicious Activity Reports may be filed without notice.

6. Vouchers, Lottery & Draws

Lottery draws use cryptographically provable randomness with publicly verifiable seeds. Winners receive NFT-style certificates. Naqda does NOT permit play from jurisdictions where such activity is prohibited; you are responsible for confirming legality in your jurisdiction.

7. Mobile Top-ups (Zendit)

Top-ups are routed through Zendit and the recipient's local mobile network operator. Once the operator confirms delivery, the transaction is final and non-reversible. Failed deliveries are auto-refunded; delivery confirmation latency varies by operator.

8. User Conduct

You will not (a) attempt to circumvent KYC, (b) launder proceeds of crime, (c) reverse-engineer the platform, (d) use the platform for terrorism financing, human trafficking, child exploitation, or fraud, (e) probe for vulnerabilities outside our responsible-disclosure program at security@naqda.com.

9. Intellectual Property

All Naqda software, brand assets, and underlying engines (Universal Payment Orchestrator, Trust-Link, Compliance Engine, Intelligence Fabric) are proprietary. White-label tenants receive a limited license to operate within their workspace.

10. Disclaimers

Naqda is provided "as is" without warranty of merchantability, fitness for purpose, or non-infringement. Our maximum aggregate liability is the lesser of $1,000 or the fees paid in the prior 12 months.

11. Termination

We may suspend or terminate accounts found to violate these Terms, applicable law, or risk thresholds set by our compliance engine. You may close your account anytime; outstanding obligations survive termination.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA. Disputes will first attempt mediation, then binding arbitration under AAA Commercial Rules in Wilmington, Delaware. You waive class-action rights.

13. Changes

We may update these Terms with 30 days' notice via email and an in-app banner. Continued use after the effective date constitutes acceptance.
